Outside Bond Counsel and Disclosure Counsel Services
Texas Water Development Board
Buyer seeks law firms to provide bond counsel services or disclosure counsel services for all bond matters. The contract term will be from September 1, 2025, through August 31, 2027. Buyer may select one or more firms to serve as bond counsel or disclosure counsel for bond issuances and related matters. Selected firms will primarily assist with municipal bond issuances and provide legal advisory services for the ongoing management of buyer's municipal bond programs.

- Prepare bond resolutions, agreements, and authorizing instruments
- Represent TWDB in preparation of bond sales contracts
- Obtain approval from Texas Attorney General for bond issuances
- Assist with Bond Review Board and Legislative Budget Board submissions
- Render legal opinions on bond validity and tax-exempt status
- Review compliance with federal tax law requirements
- Prepare and review Preliminary Official Statements and disclosure documents
- Assist with continuing disclosure requirements under SEC Rule 15c2-12
- Provide legal support for bond defeasance and call activities
- Advise on legality of debt restructuring techniques
